ACCEPTANCE OF TERMS
These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Client", "you", "your") and BizStrat ("Company", "we", "us", "our"), a business consulting firm operating in India. By accessing, using, or submitting any information through our website, filling any forms, or engaging with our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.

DEFINITIONS
"Services" means all business consulting, advisory, strategic planning, and related professional services offered by BizStrat.
"Website" means the BizStrat website accessible at bizstrat.co.in and all associated subdomains.
"Content" means all information, text, graphics, designs, logos, data, materials, and other content available on the Website.
"Personal Data" means any information relating to an identified or identifiable natural person as defined under the Digital Personal Data Protection Act, 2023.
"Confidential Information" means all non-public, proprietary, or confidential information disclosed by either party.

2. All Services are provided subject to separate service agreements that will govern the specific terms of engagement, deliverables, timelines.
3. Any information provided on our Website is for general informational purposes only and does not constitute professional advice for your specific situation.

4. We reserve the right to modify, suspend, or discontinue any aspect of our Services at our sole discretion without prior notice.

Limitation of Liability
1. To the maximum extent permitted by applicable law, Bizstrat's total liability for any claims arising from or related to these terms or our services shall not exceed the total amount paid by you for services in the 1 months preceding the claim

2. In no event shall Bizstrat be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
3. This limitation applies whether the liability is based on contract, tort, negligence, strict liability, or any other legal theory

 

Exceptions
Nothing in these Terms shall limit our liability for:
1. Death or personal injury caused by our negligence
2. Fraud or fraudulent misrepresentation
3. Any liability that cannot be excluded or limited under applicable law

4. Business Consulting Specific Limitations
5. We provide professional opinions and recommendations based on information provided by you
6. Implementation of our recommendations is entirely at your discretion and risk
7. We are not responsible for business decisions made based on our advice or for results that may differ from projections

INDEMNIFICATION
 

You agree to indemnify, defend, and hold harmless BizStrat, its directors, officers, employees, agents, associates and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:
1. Your use of our Services or Website
2. Your violation of these Terms
3. Your violation of any rights of a third party
4. Any content or information you provide to us
5. Your business decisions or implementation of our recommendations
6. This indemnification obligation survives termination of these Terms and any service relationship.

 

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
 

 FEES AND PAYMENT TERMS

• BizStrat, through its founders, associates and team, provides strategic inputs and thought leadership on a voluntary and discretionary basis, without any stipulated fee or commercial contract. 

• Any amounts received from clients, organizations, or associates shall be considered exclusively as reimbursement and out-of-pocket expenses incurred during the course of providing such advisory, including but not limited to travel, communication, and incidental costs.

• No part of such reimbursements shall be deemed or construed as a professional fee, salary, or compensation for services rendered.

• The provision of advisory input is non-binding, and participation or reliance on such input is at the sole discretion of the recipient.

• Unless otherwise agreed, such payments are payable in Indian Rupees.

• Late payment may result in suspension of Services and may incur interest charges as permitted by law.

• All fees are exclusive of applicable taxes, duties, and government charges, which shall be borne by you.

• Refund policies are governed by separate service agreements and applicable consumer protection laws.

 

TERMINATION

• Either party may terminate any service relationship with reasonable notice as specified in the applicable service agreement.

• We may immediately terminate or suspend your access to our Website and Services if you breach these Terms.
   

Upon termination:

• All licenses granted to you shall immediately cease

• You must cease all use of our Services and return or destroy any Confidential Information

• Accrued payment obligations shall survive termination

• Confidentiality, indemnification, and limitation of liability provisions shall survive

 
COMPLIANCE WITH LAWS

These Terms and our Services are subject to compliance with all applicable Indian laws, including but not limited to:

• The Information Technology Act, 2000

• The Digital Personal Data Protection Act, 2023

• The Consumer Protection Act, 2019

• The Indian Contract Act, 1872

• Foreign Exchange Management Act (FEMA), 1999

• Goods and Services Tax laws

 

You are responsible for ensuring your use of our Services complies with all applicable laws in your jurisdiction.

 
DISPUTE RESOLUTION AND GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of India
Any disputes shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, Indi

 

Arbitration

• Any dispute, claim, or controversy arising out of or relating to these Terms or our Services shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996

• The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement, or failing agreement, by the Mumbai Centre for International Arbitration

• The seat of arbitration shall be Mumbai, Maharashtra, India

• The language of arbitration proceedings shall be English

• The arbitrator's decision shall be final and binding

 

Exceptions to Arbitration
Either party may seek interim relief or injunctive relief from courts of competent jurisdiction & claims for intellectual property infringement may be brought directly in courts
 
FORCE MAJEURE

• Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including acts of God, natural disasters, war, terrorism, pandemic, government actions, or internet/telecommunications failures.

• The affected party shall promptly notify the other party and use reasonable efforts to mitigate the impact.
   

SEVERABILITY

• If any provision of these Terms is found to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, such provision shall be deleted.

• The validity and enforceability of the remaining provisions shall not be affected.
   

 

MODIFICATIONS

• We reserve the right to modify these Terms at any time by posting updated Terms on our Website.

• Your continued use of our Services after such modifications constitutes acceptance of the updated Terms.

• Material changes will be notified to existing clients via email or other reasonable means.

 

ENTIRE AGREEMENT

• These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and BizStrat regarding the subject matter herein.

• These Terms supersede all prior agreements, understandings, and communications, whether written or oral.

 

ASSIGNMENT

• You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

• We may assign these Terms to any affiliate or successor entity.

 

WAIVER

• No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

• Our failure to assert any right under these Terms shall not constitute a waiver of such right.

 

NOTICES

• All legal notices shall be in writing and delivered via email or registered post to the addresses specified in service agreements.

CONSUMER PROTECTION
 

• If you are a consumer under the Consumer Protection Act, 2019, certain provisions of these Terms may not apply to the extent they conflict with your statutory rights.

• Nothing in these Terms affects your statutory rights as a consumer that cannot be excluded or limited by law.​
